Terms + Conditions

date reservation

The event date will be held for a client for two weeks after they first receive this contract.  After those two weeks the date will be open to other clients and may be booked on a first come, first serve basis.  Once we receive a signed copy of the contract and the retainer has been paid, the date will be permanently held.

payment policy

25% ($) of the total balance ($) is due upon contract signing. This payment serves as a non-refundable deposit which reserves your event date, and the amount is applied to your final balance.

Final payment is due 3 weeks prior to your event date. If the balance is not paid in full by this time, this contract is considered VOID and all payments made to that point will be forfeited.

rental items

All vases, candle votives, and/or other props are property of Bridge City Blooms.  Rental items are due back to Bridge City Blooms no later than two days after the event.  In case of damaged or missing items, a replacement fee will be charged to the client.      

substitutions

Bridge City Blooms reserves the right to substitute flower varieties/colors/products/sundries if the quality of available specified items are not of quality suitable for your event or if specified items are not available. This happens rarely and Bridge City Blooms will use a similar item of equal or better value and maintain the integrity of the proposed color scheme the design theme.

changes to this contract

The deadline for ordering additional floral pieces to your order is three weeks prior to the event. In the case that you need to remove any items from your order after the final payment has been made, a refund cannot be given for those items because flowers have already been ordered to create those pieces. Flowers allocated for those pieces will be utilized to upgrade remaining purchased pieces.

cancellation

Contract cancellations must be made in writing by email. Contract cancellation made before final payment is due will receive a refund of monies paid, less the non-refundable deposit. Contract cancellation made less than 3 weeks prior to the event date will receive no refund.

orders for pickup

If you choose to pick up an order from Bridge City Blooms, it is understood that the condition of the flowers are the sole responsibility of the person picking them up after they leave the studio.

rights

Bridge City Blooms retains the rights to photograph finished work and may use in self-promotion and advertising.

force majeure

Neither party shall be liable in damages or have the right to terminate this Agreement for any delay or default in performing here under if such delay or default is caused by conditions beyond its control including, but not limited to Acts of God, Government restrictions (including the denial or cancellation of any export or other necessary license), wars, insurrections and/or any other cause beyond the reasonable control of the party whose performance is affected.

Neither party shall be liable for any failure or delay in performance under this Agreement (other than for delay in the payment of money due and payable here under) to the extent said failures or delays are proximately caused by causes beyond that party’s reasonable control and occurring without its fault or negligence, including, without limitation, failure of suppliers, subcontractors, and carriers, or party to substantially meet its performance obligations under this Agreement, provided that, as a condition to the claim of non-liability, the party experiencing the difficulty shall give the other prompt written notice, with full details following the occurrence of the cause relied upon. Dates by which performance obligations are scheduled to be met will be extended for a period of time equal to the time lost due to any delay so caused.

dispute resolution

The parties agree that they will endeavor to settle any dispute, controversy or claim arising out of or relating to this contract, which they are unable to settle through direct negotiations, by mediation.

limit of liability

Client and Bridge City Blooms have discussed the risks and rewards associated with these services as well as Bridge City Blooms fees for services. Client agrees to indemnify and hold harmless Bridge City Blooms from any and all claims, injuries, damages, losses, expenses, liabilities or claim expenses (including mediation fees) arising out of this agreement for any cause and/or causes associated with the flowers or floral design services provided on the date of the Special Event. Such causes include, but are not limited to, Bridge City Blooms negligence, errors, omissions, strict liability, breach of contract, or breach of warranty.

recovery of litigation expenses

If any legal action or arbitration or other proceeding is brought for the enforcement of this agreement, or because of an alleged dispute, breach, default, or misrepresentation in connection with any of the provisions of this agreement, the successful or prevailing party or parties shall be entitled to recover reasonable attorneys’ fees and other costs incurred in that action or proceeding, in addition to any other relief to which it or they may be entitled.
